End User License Agreement

1. Acceptance of Terms

By accessing or using the GSNS freight management platform, customer portal, or related services (collectively, the “Platform”), you agree to be bound by this Agreement. If you are entering into this Agreement on behalf of a company or other organization, you represent that you have authority to bind that entity. If you do not agree, do not access or use the Platform.

2. Definitions

• “Platform” means the GSNS web application, customer portal, APIs, and related services provided by GSNS.
• “User” means any individual authorized to access the Platform, including staff, drivers, and customers.
• “Customer Data” means data you submit to or generate within the Platform, including order, delivery, and billing information.
• “Third-Party Services” means services not provided by GSNS that integrate with the Platform, including QuickBooks Online.

3. License Grant

Subject to your compliance with this Agreement, GSNS grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform solely for your internal business purposes related to freight, logistics, and associated invoicing.

4. Eligibility & Accounts

You must provide accurate account information and keep your credentials confidential. You are responsible for all activity that occurs under your account. Notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate this Agreement or pose a security risk.

5. QuickBooks Online & Third-Party Services

The Platform integrates with QuickBooks Online to synchronize invoicing and accounting records. By connecting a QuickBooks Online company, you authorize the Platform to access and exchange accounting data (such as customers, items, invoices, and tax codes) on your behalf through Intuit’s secure OAuth authorization.

• Your use of QuickBooks Online and other Third-Party Services is governed by the respective provider’s terms and privacy policy, which are separate from this Agreement.
• GSNS is not responsible for Third-Party Services, their availability, or any acts or omissions of their providers.
• You may disconnect the QuickBooks Online integration at any time, which revokes the Platform’s access going forward.

6. Acceptable Use

You agree not to:

• Use the Platform for any unlawful, fraudulent, or unauthorized purpose;
• Access or attempt to access accounts, data, or systems you are not authorized to use;
• Reverse engineer, decompile, copy, or create derivative works of the Platform except as permitted by law;
• Interfere with or disrupt the integrity or performance of the Platform, or attempt to circumvent its security; or
• Resell, sublicense, or otherwise make the Platform available to third parties except as expressly permitted.

7. Customer Data

You retain all rights in your Customer Data. You grant GSNS a license to host, process, and transmit Customer Data solely to provide and improve the Platform and to synchronize with services you authorize, such as QuickBooks Online. You are responsible for the accuracy and lawfulness of the Customer Data you submit and for obtaining any necessary consents.

8. Intellectual Property

The Platform, including its software, design, and content (excluding Customer Data and Third-Party Services), is owned by GSNS and protected by intellectual property laws. Except for the limited license granted above, no rights are transferred to you.

9. Privacy

Our handling of personal and business information is described in our Privacy Policy, which is incorporated into this Agreement by reference.

10. Disclaimer of Warranties

The Platform is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. GSNS does not warrant that the Platform will be uninterrupted, error-free, or secure.

11. Limitation of Liability

To the maximum extent permitted by law, GSNS and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Platform. In no event will GSNS’s aggregate liability exceed the amounts you paid to GSNS for the Platform in the twelve (12) months preceding the claim, or one hundred Canadian dollars (CAD $100) if no such amount was paid.

12. Indemnification

You agree to indemnify and hold harmless GSNS and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your Customer Data, your use of the Platform, or your violation of this Agreement or applicable law.

13. Term & Termination

This Agreement remains in effect while you use the Platform. We may suspend or terminate your access at any time for violation of this Agreement or to protect the Platform or other users. Upon termination, the licenses granted to you end. Sections that by their nature should survive termination will survive, including ownership, disclaimers, limitation of liability, and indemnification.

14. Governing Law

This Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. The courts located in Ontario, Canada will have exclusive jurisdiction over any disputes arising from this Agreement.

15. Changes to This Agreement

We may update this Agreement from time to time. When we do, we will revise the “Last updated” date above. Your continued use of the Platform after changes take effect constitutes acceptance of the updated Agreement.
